Terms & Conditions of Jibble Service

By using the Jibble mobile app, desktop app, web application or website (“Service”), you agree to be bound by the following terms and conditions (“Terms of Service”).

Jibble Ltd. reserves the right to update and change the Terms of Service without notice. Any new features that augments or enhances the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time here.

Violation of any of the terms below will result in the termination of your account. You agree to use the Service at your own risk.

Terms

  1. You must be of an age of majority in your state or province of residence.
  2. You must provide your full name, a valid email address or phone number and any other information requested in order to complete the sign-up process.
  3. You are responsible for maintaining the security of your account and password. Jibble Ltd. cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  4. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

 

Billing

  1. A valid payment method (credit card or paypal) is required for using the Jibble paid services after the 14 day trial has expired.
  2. The Service is billed in advance on a monthly or annual basis and is non-refundable. There will be no refunds or credits for partial months/years of service, downgrades or unused months with an open account. In order to treat everyone equally, no exceptions will be made.
  3. All advertised fees are exclusive of any taxes, levies or duties imposed by taxing authorities. If you are from the European Union, VAT charges will be charged to your bill.
  4. If a Jibble plan is upgraded or downgraded, the new rate will be applied on the next billing cycle (next month or year depending on the subscription) and will be automatically taken on the basis of the payment details provided.
  5. Downgrading the Service will result in the loss of content, features or the capacity of an Account. Jibble Ltd. does not accept any liability for such loss.

 

Billing Calculation (Monthly)

  1. At the beginning of every billing period (one month), a team on a Paid Plan that has entered their billing/credit card details will be charged up front based on the number of seats in their organization, with rates depending on the selected plan.
  2. A seat is used in the following situations:
    1. A user is invited to your team (regardless if they logged into the system), or
    2. A user is created (or imported) into your Jibble team regardless if they log in or not, or
    3. A user is the owner of the organization.
  3. Users that have been removed from the organization do not occupy a seat.
  4. Additional seats can be purchased during the billing cycle at the same price as purchased at the beginning of the billing period, but will be prorated until the end of the billing period.
  5. All fees are exclusive of all taxes, levies or duties imposed by taxing authorities and you shall be responsible for payment of all such taxes, levies or duties in your respective country of residence.

 

Billing Calculation (Annually)

  1. At the beginning of every billing period (one year), a number of seats needed for the 12 months will be charged up front. These licenses are charged per seat, with rates depending on the selected plan.
  2. A seat is used in the following situations:
    1. A user is invited to your team (regardless if they logged into the system), or
    2. A user is created (or imported) into your Jibble team regardless if they log in or not, or
    3. A user is the owner of the organization.
  3. Users that have been removed from the team do no occupy a seat
  4. Additional seats can be purchased during the 12 month billing cycle at the same price as purchased at the beginning of the billing period, but will be prorated until the end of the billing period
  5. All fees are exclusive of all taxes, levies or duties imposed by taxing authorities and you shall be responsible for payment of all such taxes, levies or duties in your respective country of residence.

 

Cancellation

  1. You can cancel your subscription at any time from the subscription page in the web app (web.jibble.io).
  2. If you cancel your subscription before the end of your billing period (monthly or annual), your cancellation and downgrade will take effect immediately and you will not be charged again.
  3. You can delete your account by contacting the Jibble team through the in-app messaging service or via e-mail: support@jibble.io. Your Account will then be removed by our team in a timely manner and will verify when this process has been completed through an email confirmation.
  4. All of your content will be immediately deleted from the Service upon deletion. This information can not be recovered once your Account has been removed.
  5. Jibble Ltd. in its sole discretion has the right to suspend or terminate your Account and to refuse any and all current or future use of the Service or any other Jibble Ltd. service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account.

 

Modifications

  1. Jibble Ltd. reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof), with or without notice.
  2. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Jibble Site (jibble.io) or the Service itself.
  3. Jibble Ltd. shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

 

Data policy

  1. Jibble Ltd. retains data related to your team as stated in the privacy policy.
  2. User data is archived on a regular basis (every 12 hours) via backup mechanism. Jibble 1 archives are stored for 3 months, Jibble 2 archives are stored for 30 days.
  3. You can always request to permanently delete your personal information, as described in the privacy policy.
  4. We store Jibble 1 user data in our North Virginia AWS region. Jibble 2 is stored in Ireland AWS region. Backups are taken on a regular basis. All data is encrypted using industry-standard methods when stored on disk or transmitted over the network. Only authorised Jibble staff may have access to user data. General Data Protection Regulation (GDPR)

  1. If you are based within the European Union or the United Kingdom, GDPR will be applicable to you. Under this regulation Jibble Ltd. act as both a data controller (who decides the purpose and manner that personal data is used) and a data processor (who processes data on behalf of the controller, which includes obtaining, recording, adapting or holding personal data).
  2. The lawful basis for collecting your data is:
    1. You provide your consent at the point of registration for us to do so and by accepting our terms and conditions.
    2. Processing your data in the way explained above is necessary for us to provide Jibble’s services to users.
    3. Some of that data is processed for the purposes of our legitimate interests.
  3. Jibble Ltd. acts as a data controller for team owners who create a team account on Jibble. If you are a team owner operating within the EU or the UK, you must comply with the GDPR and this forms part of our Terms of Service. You can request a data processing agreement from us by emailing support@jibble.io.
  4. Jibble Ltd. acts as a data processor for the team members that join existing accounts. Jibble Ltd. requires consent from both team owners and team members to process their data. Furthermore, all users of the Jibble Service have individual rights to their data including to be informed, to access their data at any time, to rectify their data, to erase their data and to restrict processing. General Conditions

  1. Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis.
  2. You understand that Jibble Ltd. uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage and related technology required to run the Service. This is subject to the GDPR within the European Union and the United Kingdom.
  3. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, Jibble Ltd. , or any other Jibble Ltd. service.
  4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without the express written permission by Jibble Ltd.
  5. We may, but have no obligation to, remove content and Accounts that are determined as unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
  6. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Jibble Ltd. customer, employee, member or officer will result in immediate account termination.
  7. You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  8. Jibble Ltd. does not warrant that:
    1. the Service will meet your specific requirements
    2. the Service will be uninterrupted, timely, 100% secure or error-free;
    3. the results that may be obtained from the use of the Service will be accurate or reliable;
    4. the quality of any products, services, information or other material purchased or obtained by you through the Service will meet your expectations;
    5. any errors in the Service will be corrected.
  9.  You expressly understand and agree that Jibble Ltd. shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Jibble Ltd. has been advised of the possibility of such damages) resulting from:
    1. the use or the inability to use the Service;
    2. the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through orfrom the Service;
    3. data breaches if beyond our control and we have informed you no later than 72 hours since the breach;
    4. statements or conduct of any third party on the Service;
    5. or any other matter relating to the service.
  10. The failure of Jibble Ltd. to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Jibble Ltd. and govern your use of the Service, superseding any prior agreements between you and Jibble Ltd. (including, but not limited to, any prior versions of the Terms of Service).
